Welcome to BIDGRIT. By accessing or using the BIDGRIT website, application, or any related services (together, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.
1. The Service
BIDGRIT is a software-as-a-service platform that uses artificial intelligence to generate draft construction proposals and Home Improvement Contracts intended to comply with California Business & Professions Code § 7159 and related statutes. Generated documents are drafts and are not a substitute for legal advice.
2. Eligibility & Account
- You must be at least 18 years old and authorized to enter contracts in California.
- If you represent a licensed contractor, you warrant that the CSLB license number you enter is valid and belongs to you or your employer.
- You are responsible for safeguarding your login credentials. Notify us immediately of any unauthorized use.
3. Subscriptions, Billing & Usage Limits
- Paid subscriptions (Starter, Crew, Pro, Agency) are billed monthly or annually via Stripe. Prices are shown at checkout. New accounts may generate up to three contracts free of charge before choosing a plan.
- Starter is capped at 15 proposals and Crew at 40 proposals per billing cycle. Pro and Agency are uncapped within fair-use limits.
- Annual plans are discounted 20% and billed up-front.
- Subscriptions renew automatically unless canceled before the next cycle.
- Price changes will not affect grandfathered existing customers until they materially upgrade.
4. AI-Generated Content & Legal Compliance
BIDGRIT uses OpenAI GPT-4o to generate contract text. While we train the system on California statutory requirements, AI output may contain errors, omissions, or outdated references. Every contract must be reviewed by the contractor (and a licensed California construction attorney where appropriate) before delivery to any client.
5. Electronic Signatures
E-signatures collected through BIDGRIT are intended to satisfy the California Uniform Electronic Transactions Act (Civil Code § 1633.1 et seq.) and the federal E-SIGN Act (15 U.S.C. § 7001 et seq.). An audit trail (IP address, user agent, timestamp, confirmation ID) is recorded for each signature.
6. Acceptable Use
- No illegal activity, fraud, or impersonation.
- No using the Service to generate non-construction or non-California-compliant contracts in a way that misrepresents them as such.
- No reverse-engineering, scraping, or circumventing rate limits.
- No sharing your account with non-licensed users of a different tier.
7. Intellectual Property
You retain ownership of the data you input and the documents you generate. BIDGRIT retains all rights to the platform, system prompts, brand, and underlying technology. You grant BIDGRIT a limited license to process your data to provide the Service.
8. No Legal Advice; Your Responsibility for Documents
BIDGRIT is a software tool, not a law firm, and does not provide legal advice. Statements that the Service is “built around” or “built to” California Business & Professions Code § 7159 describe how the software is designed. They are not a representation that any document the Service produces, checks, scores or translates complies with the law, is complete, or is suitable for your transaction. Automated checks (including the Contract Health Check, license verification and compliance warnings) can be wrong, incomplete or out of date, and no attorney reviews your documents unless you engage one yourself.
You are solely responsible for every document you send, sign, or rely on, for the accuracy of the information you enter, and for confirming that it meets the law and your license as of the date you use it. Translations provided by the Service are machine-generated for convenience; the English document controls unless you obtain and attach a reviewed translation.
9. Disclaimer of Warranties; Errors and Omissions
THE SERVICE AND ALL OUTPUT ARE PROVIDED “AS IS” AND“AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT OR LEGAL SUFFICIENCY. BIDGRIT DOES NOT WARRANT THAT GENERATED, CHECKED OR TRANSLATED DOCUMENTS ARE FREE OF ERRORS OR OMISSIONS, THAT THEY COMPLY WITH ANY LAW, OR THAT ANY E-SIGNATURE, NOTICE, LICENSE CHECK OR PAYMENT WILL BE VALID, DELIVERED OR ENFORCEABLE IN ANY PARTICULAR CASE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) BIDGRIT AND ITS OWNERS, EMPLOYEES AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST CONTRACTS, FINES, PENALTIES, LICENSE DISCIPLINE, LIEN OR DISPUTE LOSSES, OR DATA LOSS, ARISING FROM OR RELATED TO THE SERVICE OR ANY DOCUMENT IT PRODUCES, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) BIDGRIT’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID BIDGRIT IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR ONE HUNDRED DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.
You agree to indemnify BIDGRIT against third-party claims arising from documents you send or sign through the Service, from your use of homeowner payment features, or from your breach of these Terms.
11. Termination
You may cancel at any time from your dashboard. BIDGRIT may suspend or terminate accounts that violate these Terms, with or without notice, and will provide a prorated refund only where required by law.
12. Governing Law
These Terms are governed by the laws of the State of California. Disputes shall be resolved in the state or federal courts located in Los Angeles County, California.
